Venu Srinivasan, the chairman emeritus of TVS Motor Company, resigned from his position at the Bai Hirabai Jamsetji Tata Navsari Charitable Institution (BHJTNCI) on Saturday, attributing his departure to other business obligations. He is also affiliated with several crucial boards within the Tata Trusts.<\/p>\n
It has been reported that his resignation followed a request from the management of Tata Trusts. This decision came shortly after a conflict regarding the appointments of trustees.<\/p>\n
Reliable sources within the Tata Group have indicated that Tata Trusts asked both Srinivasan and former Defence Secretary Vijay Singh to resign from the Bai Hirabai Trust. While Srinivasan complied, Singh chose to remain in his position.<\/p>\n
Mehli Mistry, a former trustee of Sir Ratan Tata Trust, has officially contested the appointment and ongoing service of trustees Srinivasan and Singh before the Maharashtra Charity Commissioner.<\/p>\n
Siddharth Sharma, the Chief Executive of Tata Trusts, did not respond to inquiries from The Indian Express regarding this matter. Srinivasan declined to comment, and Singh did not reply to calls or messages for clarification.<\/p>\n
Mistry has argued that the trust\u2019s bylaws require trustees to be permanent residents of Mumbai and members of the Parsi Zoroastrian community. He asserts that both Srinivasan and Singh do not meet these criteria and has called for regulatory scrutiny, including a formal investigation and sworn statements from all trustees confirming their eligibility.<\/p>\n
The Bai Hirabai Jamsetji Tata Navsari Charitable Institution was established under a trust deed on December 7, 1923, and shares the same Board of Trustees as the Sir Ratan Tata Trust.<\/p>\n
According to Tata sources, former Chief Justice of India HJ Kania concluded that there are no legal or doctrinal obstacles preventing non-Zoroastrians from serving as members of the trusts. His opinion suggested that the governing framework does not impose explicit restrictions on such appointments, allowing for a broader interpretation of eligibility for trusteeship.<\/p>\n
In line with this perspective, RK Krishnakumar, a former Director of Tata Sons and various Tata companies, was appointed as a trustee in 2000 during Ratan Tata’s leadership of the Tata Trusts. This was viewed as an affirmation of a more inclusive governance approach.<\/p>\n
While Srinivasan’s resignation raises questions about the dynamics among the Tata Trusts’ trustees, a source within Tata stated that the trust is a minor entity with no ownership stakes or voting rights in Tata companies.<\/p>\n
The source further indicated that the trust\u2019s management did not need to request resignations following Mistry’s complaint to the Charity Commissioner.<\/p>\n
After Srinivasan’s departure, all members of the Bai Hirabai Jamsetji Tata Navsari Trust board, with the exception of Vijay Singh, are of the Zoroastrian faith. This trust is part of the Sir Ratan Tata Trust, currently led by Noel Tata.<\/p>\n
In other developments, the board of Tata Sons is anticipated to convene in June to discuss a potential extension for Chairman Natarajan Chandrasekaran. The Tata Trusts board is expected to meet prior to this gathering.<\/p>\n
Currently, there are no proposals from Noel Tata or any other trustee regarding the introduction of a shortened tenure for the chairman or the appointment of a Managing Director or CEO alongside the chairman at Tata Sons, according to sources.<\/p>\n
A senior source within the group noted, \u201cTo my knowledge, the Tata Sons board will continue to support Chandrasekaran for a third term. No director can veto that. I believe the concerns raised by Noel Tata should be addressed and discussed thoroughly at a board meeting, as they were initially presented there and not through external communication.\u201d<\/p>\n
They added, \u201cThe dignity of the Chairman of Tata Sons must be upheld, and he should never be regarded as subordinate, whose justification is being questioned.\u201d<\/p>\n
On February 24, a decision regarding the third extension for Chandrasekaran was postponed after he requested the Tata Group holding company’s board to delay the matter due to ongoing disagreements during the meeting.<\/p>\n
While his second term is set to conclude in February 2027, Tata Sons directors had previously approved a third extension.
